IMPORTANT – READ CAREFULLY: This End-User License Agreement (“EULA”) is a legal agreement between you (referred to as “User” or “you”) and Highway Dispo (“Company,” “we,” or “us”) governing your use of the software application provided by Highway Dispo (the “Software”). By installing, accessing, or using the Software, you agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, do not install, access, or use the Software.

License Grant

Subject to the terms and conditions of this EULA, the Company grants you a limited, non-exclusive, non-transferable license to install and use the Software for your personal or internal business purposes in accordance with the accompanying documentation.

Restrictions

You shall not, directly or indirectly:

2.1 Copy, modify, distribute, sell, lease, sublicense, or transfer the Software or any portion thereof;

2.2 Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;

2.3 Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software;

2.4 Use the Software in any manner that violates any applicable laws, regulations, or third-party rights;

2.5 Use the Software to develop a competing product or service;

2.6 Use the Software for any illegal, unauthorized, or unethical purposes.

Intellectual Property Rights

The Software, including any intellectual property rights therein, is and shall remain the sole property of the Company and its licensors. This EULA does not grant you any rights to trademarks, copyrights, or other proprietary rights related to the Software.

Data Collection and Privacy

The Software may collect and process certain information, including personal information, as described in our Privacy Policy. By using the Software, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

Disclaimer of Warranty

THE SOFTWARE IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE.

Termination

This EULA is effective until terminated. The Company may terminate this EULA at any time if you fail to comply with its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any legal action or proceeding arising out of or relating to this EULA shall be exclusively brought in the courts located in [Insert Jurisdiction], and you consent to the personal jurisdiction of such courts.

Entire Agreement
